1. Provider and Scope of Application

hereinafter referred to as “SoftDarya”, “we” or “us”.
These General Terms and Conditions of Business and Use apply to the use of the SoftDarya website, web app and other digital offerings. They apply both to private users (“users”) and to providers, companies, self-employed persons and members of the liberal professions (“providers”) who manage a profile on SoftDarya or book paid functions in the future.
Additional conditions may apply to individual functions. Insofar as paid packages or other paid services are offered in the future, the conditions specified in the respective ordering process apply in addition.
2. Purpose and Role of SoftDarya
SoftDarya is a directory, search and review platform. Users can in particular:
- search for service providers and specialists,
- view provider profiles,
- retrieve information about providers,
- submit contact and information requests,
- publish reviews,
- view provider locations and other publicly provided information.
Providers can in particular:
- claim existing profiles,
- manage their profile data,
- add or update content,
- respond to reviews,
- book paid visibility or additional functions in the future, insofar as these are offered.
SoftDarya merely mediates the contact between users and providers. SoftDarya does not become a contracting party to the contracts concluded between users and providers, in particular not to work, purchase, service, consulting or other contracts.
SoftDarya is in particular not responsible for:
- the execution, quality or outcome of an offered service,
- prices, appointments or other agreements between users and providers,
- the professional licensing, qualification or authorisation of a provider,
- the actual availability of a provider,
- the fulfilment of contracts between users and providers,
- direct payment processes between users and providers.
3. Registration and User Account
A user account may be required for certain functions, for example publishing reviews or claiming and managing a provider profile.
Complete and accurate details must be provided during registration. Registration can in particular be carried out using a confirmation code sent by email.
An account may in principle only be used by the registered person. Access data and access options must be treated confidentially and protected from access by third parties.
In principle, only persons who are authorised to use the respective functions may register. Insofar as paid provider functions are offered in the future, the corresponding contracts may only be concluded by persons who are of legal age and authorised to represent the respective company.
There is no entitlement to registration or to the permanent provision of a user account, unless the law provides otherwise.
4. Provider Profiles and Claiming
SoftDarya may create provider profiles on the basis of publicly accessible or otherwise lawfully accessible information. The existence of a profile does not mean that the provider concerned cooperates with SoftDarya, or that it has been verified, recommended or commissioned by SoftDarya.
Authorised providers can request the takeover or claiming of a profile. Suitable evidence may be required for this, for example a business email address, appropriate proof of company or proof of authorisation.
Marking a profile as “verified” merely confirms that the authorisation to manage the profile was checked in accordance with the procedure provided by SoftDarya. Verification does not constitute a general check of the professional quality, economic reliability or legal licensing of the provider.
5. Obligations of Providers
Providers are obliged to keep their details on SoftDarya current, complete and truthful at all times. This concerns in particular, insofar as relevant:
- name and company name,
- address,
- contact details,
- offered services,
- opening hours,
- price information,
- legally required provider information,
- professional or commercial details.
Legally prescribed information relating to professional law, consumer law, competition law and other mandatory information must be provided by the provider on its own responsibility and kept up to date.
Providers may not infringe the rights of third parties. Providers must inform SoftDarya immediately if they cease their business activities or if required permits, licences or authorisations lapse.
6. Reviews and Moderation
Reviews must be based on one's own actual experience with the provider being reviewed. In particular, the following are not permitted:
- self-reviews,
- reviews by persons without actual contact with the provider,
- purchased or fabricated reviews,
- reviews containing false statements of fact,
- offensive or purely disparaging content,
- abusive criticism,
- content that violates competition law,
- reviews published exclusively to manipulate the ranking or reputation of a provider.
SoftDarya can check reviews and remove, restrict or otherwise moderate them in the event of violations of these Terms, legal regulations or other applicable rules.
Objection to a review
If a review is reported by a provider as untrue or impermissible, SoftDarya can ask the author to provide suitable evidence for further review. This can, for example, consist of redacted appointment confirmations, invoices or comparable documents from which an actual contact with the provider can be established. Unnecessary personal data should be redacted where possible.
If an alleged actual contact cannot be plausibly proven or if the review violates applicable law or these Terms, SoftDarya can remove or otherwise edit the review.
Identity and contact data of reviewers are in principle not disclosed to the provider being reviewed, unless there is a legal obligation or an administrative or court order.
7. Usage Rights to Submitted Content
Users or providers grant SoftDarya a simple, geographically unrestricted and in principle free usage right to the content they submit, insofar as this is required.
The usage right includes in particular the use, storage, reproduction, public availability and technical processing of the content, insofar as this is required or appropriate for the operation, presentation, technical optimisation and findability of the platform. This can in particular concern texts, images, logos and other content provided by the user or provider.
Users or providers confirm that they are entitled to the corresponding use of the content and that no rights of third parties are infringed by providing it.
The usage right ends in principle with the deletion of the respective content on the platform, unless legal retention obligations, legitimate security interests or technical backup copies stand in the way.
8. Prohibited Use and Rules of Conduct
It is prohibited to use SoftDarya unlawfully or abusively. In particular, the following are prohibited:
- the use of false identities,
- the unauthorised claiming or takeover of provider profiles,
- the manipulation of reviews,
- the targeted manipulation of search results or rankings,
- the use of automated scripts, bots or scrapers to read data without authorisation,
- the introduction of malware,
- attempts to bypass security mechanisms,
- unauthorised access to accounts or technical systems,
- the transmission of spam or unsolicited advertising via the platform,
- the use of the platform for unlawful purposes,
- the infringement of the rights of third parties.
SoftDarya is entitled to take appropriate measures in the event of violations, in particular to remove content, restrict functions or temporarily or permanently block accounts, insofar as this is necessary and legally permissible.
9. Contact Inquiries and Additional Functions
Users can send contact or information requests to providers via functions provided by SoftDarya. SoftDarya provides no guarantee that a request will be successfully delivered, read or answered. Communication between users and providers is in principle the responsibility of the parties themselves.
Wish lists and followed profiles can be kept private for the respective user. Insofar as SoftDarya provides statistical information about the use of such functions, this can be presented in aggregated or anonymised form.
10. Maps and External Navigation
SoftDarya can provide interactive maps on provider profiles to display locations and addresses.
The map view within SoftDarya is provided using Leaflet. The underlying map data or map tiles are loaded from the following services:
- Official OpenStreetMap tile server: tile.openstreetmap.org
- CARTO: basemaps.cartocdn.com (only on the search page; if an error occurs, a fallback to OpenStreetMap is used)
For converting addresses into coordinates (geocoding), the Nominatim service at http://nominatim.openstreetmap.org is used.
Insofar as the map function requires the storage of information on the end device or access to already stored information, this takes place in accordance with the legal requirements and the consent settings described in the Cookie Policy. The map function is only activated after consent to the “Maps” category.
Google Maps is not used as an embedded map within SoftDarya. Via functions such as “Bring me there”, “Route start” or a comparable function, SoftDarya can enable the user to open a provider location in an external map service. If the user selects Google Maps, for example, a corresponding external Google Maps website or the Google Maps app is opened. After forwarding, the data protection provisions and terms of use of the respective external map service apply.
SoftDarya does not transmit the user's current live position to Google or other external map services. Using the current device position may require the corresponding permission of the browser, operating system or the respective map app. The location permission and further processing of location data then take place in the external map service used or on the user's device.
11. Paid Functions and Provider Plans
Currently, SoftDarya does not offer integrated payment processing via an external payment service provider. Insofar as no paid functions are currently offered, no corresponding subscription or payment claims arise for the user or provider through the use of SoftDarya.
Future paid provider functions
Should SoftDarya offer paid functions or subscriptions in the future, these are exclusively directed at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), unless otherwise stated in the respective offer. By booking, the customer confirms that they are acting in their capacity as an entrepreneur, trader or freelancer.
Before the introduction of paid functions, the specific prices, performance conditions, terms, cancellation conditions and payment modalities are stated in the respective ordering process. If an external payment service provider is used, its use is taken into account in the relevant data protection information and — where relevant — the Cookie Policy.
The corresponding conditions can be updated or supplemented before the introduction of paid functions.
12. Ranking and Visibility
The order in the search results can in particular be based on relevance criteria. These can include, for example:
- matching the search term,
- geographical proximity,
- category assignment,
- language or language preferences,
- completeness and currency of certain profile data,
- further technical or user-related relevance signals.
Insofar as paid visibility options are offered in the future, these can increase the visibility of suitable profiles. A paid visibility option does not lead to a profile that is obviously unsuitable for the respective search being displayed.
Paid highlights or other commercial placements are, insofar as necessary, transparently labelled, for example as “Sponsored” or with comparable labelling.
Paid functions have no influence on the content review or removal of reviews.
13. Deactivation, Deletion and 6-Week Period
Users and providers can in principle deactivate their account at any time or request its deletion.
In the event of an account deletion, SoftDarya can initially make the profile concerned invisible to the public. Insofar as technically provided, the account remains in an inactive state for a period of up to 6 weeks. Within this period, restoration may be possible by logging in again.
After this period has elapsed, the relevant personal account data is deleted, unless legal retention obligations, legal claims, legitimate security interests or other legal grounds stand in the way of deletion.
Legal retention obligations remain unaffected.
14. Availability and Technical Changes
SoftDarya endeavours to ensure reliable operation of the platform. A permanent and uninterrupted availability cannot, however, be guaranteed.
Temporary restrictions can in particular arise due to maintenance work, technical faults, security measures, force majeure or disruptions at technical service providers.
SoftDarya is entitled to further develop, change or discontinue functions, insofar as this is permissible taking into account the legitimate interests of users and providers.
